UAE Trade Licence Renewal: Deadlines, Fees and Penalties

UAE Trade Licence Renewal: The Short Answer

A reminder lands in your inbox: your licence expires in a few weeks. UAE trade licence renewal sounds like a form and a payment. In practice it is a compliance check. The authority looks at your lease, your fines, your approvals and, in some free zones, your financial statements.

The rules depend on who issued the licence. A mainland licence in Dubai is renewed with the Department of Economy and Tourism (DET). A free zone licence is renewed with the free zone itself. Each one sets its own late fee, its own grace period and its own document list.

My view: start UAE trade licence renewal at least 60 days before expiry, clear every fine first and never trade on an expired licence. This guide shows what to prepare, which numbers are official and which are adviser estimates, and what a lapse does to visas and the bank account. It is general information, not legal advice.

Who Sets the Rules for UAE Trade Licence Renewal

There is no single federal tariff for UAE trade licence renewal. The issuing authority decides. That is the first thing foreign founders miss when they compare a mainland company with a free zone company.

Licence typeWho renews itWhat to expect
Mainland (Dubai)DETValid Ejari lease, partner documents, any third-party approvals. No official fee grid found.
Free zoneThe free zone authorityZone lease or flexi-desk, fees and fines set by the zone, financial statements in some zones.
Other emiratesThat emirate’s economic departmentOwn portal, fees and penalties. Check directly.

Free zone rules are written down. DMCC publishes its Licensing Rules (Version 3, issued 10 October 2024). Rule 3.3.1 says a licence must be renewed on or before its expiry date. Rule 3.3.2 says nobody may operate in the zone without a valid licence.

Mainland DET rules are harder to read. I found no official DET page with a renewal fee schedule or grace period, so every mainland number below comes from advisers and is labelled that way. If you also compare costs across structures, see our guide to the Dubai business setup cost.

UAE Trade Licence Renewal Documents Checklist

Most renewals need the same core file. The list below mixes official free zone rules with adviser guidance for the mainland, so confirm it on your own portal.

On the mainland, advisers such as Takween Advisory say a current Ejari is checked first and is the most common cause of rejection. The Dubai Land Department confirms the mechanics: its Ejari service page lists a registration fee of AED 100 plus other charges, AED 177.75 in total online and AED 220 through a trustee centre.

Free zones also check the shareholders. DMCC’s Rule 3.3.3 allows the Registrar to request due diligence questionnaires and certificates of good standing for the shareholder. Keep your owner documents current, because a renewal can trigger this review.

Trade Licence Renewal Fees: What Is Official and What Is Not

Trade licence renewal fees are the part where advice online disagrees most. I found no official DET tariff, so I will not invent one. What I can separate is the official from the estimated.

Official and checkable: the Ejari registration fee on the DLD page above, and the free zone fee schedules the free zones publish. DMCC’s rules say the renewal fee is set in its Schedule of Charges.

Adviser estimates: Takween Advisory lists base mainland renewal ranges of AED 6,000 to 9,500 for a professional licence and AED 7,500 to 12,000 for a commercial licence, and says there is “no fixed price”. Another adviser, GrowAcross, says DET publishes no official renewal fee grid, so figures are quotes and estimates.

Use those ranges only to budget. The real amount depends on your activities, your premises and your approvals. Ask your licensing authority for a written quotation before you pay a consultant’s bundle fee.

Expired Trade Licence Penalty by Authority

An expired trade licence penalty is the cost of missing the date. It has two parts: a late-renewal fee and the risk of suspension or cancellation. Free zones publish the first part; DET does not.

DMCC’s late renewal penalty FAQ shows two columns, a current fee and a revised fee. The page states no effective date, so ask DMCC which one applies to you.

Days expiredCurrent fee (AED)Revised fee (AED)
0 to 302,5000
31 to 605,0002,500
61 to 907,5005,000
More than 90Not applicableLicence terminated

DMCC’s Rule 3.3.4 adds that the Registrar may grant a limited grace period at its discretion, and that a licence not renewed in time may be suspended or terminated. IFZA, RAKEZ, JAFZA and others publish their own schedules, so never assume DMCC’s table applies to your zone.

For mainland Dubai, the figures come from advisers. GrowAcross reports an AED 250 fine for failing to renew within the time limit, citing the Commercial Compliance Manual, and says agencies describe it as accruing monthly. It also reports AED 5,000 for trading without a licence and AED 10,000 for operating after administrative closure.

On grace periods the advisers disagree. One says Dubai has a 30-day window; GrowAcross says DET publishes none and calls “about 30 days” an industry observation. I treat the expiry date as the deadline for any UAE trade licence renewal on the mainland.

What an Expired Licence Does to Visas and Your Bank Account

The fee is rarely the biggest cost. The knock-on effects are. These points come from GrowAcross, which cites no official notice, so treat them as widely reported practice and confirm them with your PRO or bank.

Visas. Existing residence visas stay valid until their own expiry, but renewals for the investor, staff and sponsored family members are reported to stall while the licence is expired. Renewing the licence does not renew the visas. They run on separate schedules, so line the dates up.

Bank account. Banks review customers during periodic KYC checks. An expired licence can lead to an account flag, delayed incoming payments or blocked outgoing ones. A company that cannot pay salaries or suppliers quickly has a bigger problem than a late fee.

Customs and contracts. A customs code needs an active licence, so imports can stop. Clients and landlords also ask for a valid licence copy. If you are thinking of stopping the business instead, read how to close a company in the UAE: simply not renewing closes nothing and fines can keep building.

Corporate Tax, UBO and Accounts at UAE Trade Licence Renewal

Founders ask whether tax and ownership filings block UAE trade licence renewal. The honest answer is that they are separate duties, and a gap in one can still hurt the other.

Corporate tax registration. Failing to submit a tax registration application in time carries a penalty of AED 10,000 under item 14 of the schedule to Cabinet Decision 75 of 2023 as amended (applicable from 1 March 2024). One adviser guide says the registration certificate is a renewal document. I found no official source for that, so check with your authority.

UBO filings. Under our guide to the UAE UBO register, a third violation of the beneficial owner rules allows the Registrar to suspend the commercial licence. That makes UBO housekeeping part of renewal planning, even if the renewal form never asks for it.

Financial statements. DMCC makes UAE trade licence renewal depend on audited financial statements unless exempt. IFZA’s FAQ says financial statements are submitted at each renewal from 30 September 2025 and cover the latest completed financial year. For the tax-side rules, see our guide to free zone audited accounts.

UAE Trade Licence Renewal in 7 Essential Steps

This is the sequence I would follow. The order matters because later steps fail if earlier ones are left open.

  1. Check the expiry date. Put it in the calendar 60 days ahead, with the visa dates beside it.
  2. Clear fines and arrears. Pay or dispute anything outstanding. DMCC asks for proof of no arrears.
  3. Renew the lease. Mainland: a valid Ejari. Free zone: the zone lease or flexi-desk agreement.
  4. Update the file. Owner passports, Emirates IDs, any changed shareholders or activities.
  5. Collect approvals. Third-party permits for regulated activities must be valid too.
  6. Submit and pay. Use the authority’s portal, check the fee quotation and keep the receipt.
  7. Download the new licence. Send it to your bank, landlord and PRO, and diarise next year’s date.

Why a Dubai Trade Licence Renewal Gets Rejected

A Dubai trade licence renewal is usually rejected for dull reasons, not complex ones. In my experience the same few items repeat.

  • The Ejari or zone lease has expired, or the tenancy does not match the licence address.
  • Old fines or a returned payment are still open.
  • A partner’s passport or Emirates ID has expired.
  • The activity needs a third-party approval that lapsed.
  • A free zone asks for financial statements that were never prepared.
  • The renewal request was returned and answered late. DMCC’s FAQ notes that the fee is recalculated if a returned request is answered after day 30.

My View: Treat Renewal as a Compliance Date

Opinion, not advice. I would treat UAE trade licence renewal as the date on which the whole company is audited by its landlord, its regulator and its bank at once. The fee is small next to the cost of a frozen account.

The argument I hear most is “the late fee is only AED 250, so I can wait”. The fee is the visible part. An engineer would say the failure mode is the dependency chain: licence, visa, bank, client contract. Keep the licence at the top of that chain and the rest holds.

Limits of This Article

Limits of this article. It reflects pages I opened in October 2026: the DMCC Licensing Rules and late renewal FAQ, the IFZA FAQ, the DLD Ejari page, Cabinet Decision 75 of 2023 and adviser pages from Takween Advisory and GrowAcross.

I found no official DET page with a renewal tariff, grace period or fine schedule, and I did not check every free zone. Adviser figures may be out of date or may describe practice rather than rule. This is general information, not legal advice, and no outcome is guaranteed.

FAQ

How early should I start UAE trade licence renewal?

Start about 60 days before the expiry date. That is my recommendation, not an official rule. Renewals stall on items you do not control, such as an Ejari that has lapsed, a missing third-party approval or an unpaid fine. A 60-day runway lets you fix those before the licence expires and before any late fee starts.

What happens if my trade licence expires in Dubai?

You may not trade on an expired licence, and a late-renewal fee can apply. DMCC’s Licensing Rules, for example, ban operating without a valid licence and allow suspension or termination. For mainland Dubai, adviser guides cite a fine of AED 250 and AED 5,000 for trading on an expired licence, but I found no official DET tariff, so confirm the current amount.

Is there a grace period for UAE trade licence renewal?

It depends on the authority. DMCC’s Licensing Rules say the Registrar may grant a limited grace period at its discretion, and DMCC’s FAQ shows no penalty for 0 to 30 days under its revised schedule. For mainland Dubai, advisers disagree and DET publishes no grace period I could find, so treat the expiry date as the deadline.

Do I need corporate tax registration to renew my trade licence?

Registration is a legal duty for UAE companies, and the penalty for missing the deadline is AED 10,000 under Cabinet Decision 75 of 2023 as amended. Whether a renewal system blocks you without a tax registration number varies. One commercial guide says it does; I found no official source, so ask your licensing authority.

Do I need audited accounts to renew a free zone licence?

Only if your free zone or tax status requires them. DMCC makes renewal depend on submitting audited financial statements unless exempt, and IFZA asks for financial statements at each renewal from 30 September 2025. Many mainland activities do not need an audit to renew, but check your activity and your tax status.

Does renewing my trade licence also renew my visa?

No. Residence visas follow their own expiry dates. A valid licence is, however, a condition for renewing them, so an expired licence can block visa renewals for you and your staff. Existing visas generally stay valid until their own expiry, but plan the licence date well ahead of your earliest visa date.

Your Next Step

Open your licence today and write down the expiry date, the lease end date and the earliest visa expiry. If any of them falls within 90 days, start your UAE trade licence renewal now.
