Free Zone Audited Accounts UAE: Who Needs Them and When

Free zone audited accounts UAE: Jumeirah Lakes Towers at night, Dubai

A licence renewal reminder arrives, and with it a request for free zone audited accounts UAE authorities say they need. Or a bank asks for the same thing during onboarding. Founders often assume one rule explains all of it. It does not.

At least three separate sources can demand an audit: your free zone authority, the corporate tax rules, and your bank. They have different triggers and different exceptions. This guide separates them, using the authority and Federal Tax Authority (FTA) documents I opened. It is general information, not tax or legal advice.

Free Zone Audited Accounts UAE: The Short Answer

Not every free zone company needs an audit, but many do, and for different reasons. Here is where free zone audited accounts UAE requirements come from.

  • Your free zone authority decides what you file at renewal or each year. Some zones require audited statements. Others accept simplified statements from small companies.
  • Corporate tax requires an audit if you are a Qualifying Free Zone Person, whatever your revenue, or if your revenue exceeds AED 50 million.
  • Your bank sets its own policy. I found no federal rule that makes banks ask for an audit, so ask yours what it accepts.

So the honest answer to the question in the title is: it depends on your zone and on whether you want the 0% corporate tax rate. The sections below show how to work out which applies to you.

Three Sources of an Audit Requirement

It helps to keep the sources apart, because an exemption from one does not remove the other.

SourceWho it applies toAudit needed?

Corporate tax: Qualifying Free Zone PersonFree zone companies that want the 0% rateYes, regardless of revenue

BankIts own customersBank policy, not a federal rule

The rest of this guide takes each row in turn. If you have not yet checked your tax position, start with our guide to the Qualifying Free Zone Person conditions, because that status is what makes free zone audited accounts UAE-wide a tax matter rather than only a zone matter.

Free Zone Authority Rules Vary by Zone

Free zones are separate regulators. There is no single free zone audit rule, so what applies to you is whatever your authority has published. These are the ones I could open and read.

AuthorityWhat its published document says
DMCCLicensing Rules, version 3 (October 2024), rule 3.3.3: to renew a licence the entity must have submitted its audited financial statements and report under the Company Regulations, unless exempt by applicable laws and rules.
JAFZAAudit Report Submission guide: FZE and FZCO establishments must provide an updated audit report to the authority annually. The financial year must be between 6 and 18 months.
IFZALicence renewal FAQ: financial statements are submitted at each renewal from 30 September 2025. A simplified statement is allowed only if turnover is AED 3 million or less and the company had nine or fewer employees. Otherwise audited statements are required.
ADGMRegistration Authority guidance (August 2025): accounts must be audited unless an exemption applies, such as the small companies regime (turnover up to USD 13.5 million and up to 35 employees). A company that is also a Qualifying Free Zone Person needs audited accounts regardless.
RAKEZLicence renewal checklist (issued 2019) lists audited financials for industrial licences only. It is an older document, so ask RAKEZ whether it still applies.

Two lessons come out of this table. First, the same label means different things in Dubai, Abu Dhabi and Ras Al Khaimah, so free zone audited accounts UAE requirements must be read zone by zone. Second, some zones have tied their requirements to the corporate tax regime, so an older document may be out of date.

If your zone is not above, ask its registry for the current renewal checklist in writing.

Corporate Tax: When an Audit Is Mandatory

Article 54(2) of the Corporate Tax Law lets the Minister require some Taxable Persons to prepare and maintain audited financial statements. The current decision is Ministerial Decision No. 84 of 2025. It applies to tax periods commencing on or after 1 January 2025 and repeals Ministerial Decision No. 82 of 2023, which keeps applying to earlier periods.

Under Article 2 of the 2025 decision, these must prepare and maintain audited financial statements:

  • A Taxable Person that is not a tax group and derives revenue above AED 50,000,000 in the tax period.
  • A Qualifying Free Zone Person.

A tax group prepares audited special purpose financial statements instead. For a non-resident person, only revenue derived through permanent establishments or nexuses in the UAE counts towards the AED 50 million test.

For free zone companies the second bullet is the one that matters. The FTA’s Free Zone Persons guide says a Free Zone Person must prepare and maintain audited financial statements regardless of the revenue it earns, as a condition of being a Qualifying Free Zone Person. The guide also says a QFZP does not need separate audited statements for its qualifying income or for any branches.

This is why free zone audited accounts UAE founders ask about often turn into a tax decision. If you want the 0% rate on qualifying income, the audit is part of the price. If a company is small and does not meet the other QFZP conditions, the audit may be a zone matter only.

A Qualifying Free Zone Person that distributes goods or materials in or from a Designated Zone must also follow any additional procedures the FTA prescribes. Our article on the Qualifying Free Zone Person status covers the other conditions, and the corporate tax registration deadline article covers when the company must register.

Plan the timetable. The FTA guide says a Free Zone Person files its tax return within nine months of the end of the tax period. Audit work that starts late can squeeze that window.

What Smaller Companies May Skip

The UAE rules do not use the term micro-entity. What they do contain are thresholds that reduce the work for smaller companies. They do not remove the audit for a Qualifying Free Zone Person.

ThresholdWhat it allowsSource
Revenue up to AED 3 millionCash basis of accounting for corporate tax, without applying to the FTA. Above AED 3 million, accrual accounting applies unless the FTA approves an exception.FTA Accounting Standards guide

Even without an audit, a Taxable Person must keep its records. The Corporate Tax Law requires records that support the tax return to be kept for seven years after the end of the tax period.

A Qualifying Free Zone Person also cannot claim Small Business Relief. Treat the two as alternatives.

Keep the zone and tax tests separate. A company with revenue below AED 3 million may use cash accounts for tax, yet its zone may still want an audited report, and a Qualifying Free Zone Person still needs one. The rules on free zone audited accounts UAE-wide are not a single revenue ladder.

Choosing the Auditor

The audit has to come from someone your authority accepts. The documents I read disagree:

  • JAFZA says the audit report should be issued only by an auditor with a Dubai Economic Department licence.
  • ADGM says an audit under its regulations must be carried out by an ADGM registered auditor, whatever the reason for the audit.
  • IFZA says any registered UAE auditor may be used, and an audited report already prepared for the FTA can be submitted for renewal.

Ask your authority before you sign an engagement letter for free zone audited accounts UAE filings. A filing of free zone audited accounts UAE authorities refuse because of the auditor can mean paying twice.

Banks add their own checks. I found no published federal rule telling banks to demand an audit, so treat bank requests as policy. Ask which documents the bank will accept, and whether management accounts are enough for the product you want. Our guide to the Dubai business setup cost covers the wider budget, including recurring compliance costs.

5 Essential Checks Before You Commission an Audit

  1. Read your zone’s current renewal checklist for free zone audited accounts UAE rules. Ask for it in writing, and note the filing deadline and financial year rules.
  2. Decide whether you want QFZP status. If yes, plan for an audit every year, whatever your revenue.
  3. Check your revenue against the AED 50 million test. Use the tax period, and count revenue from all your business activities.
  4. Confirm who may sign the audit. Licence, registration or approved-auditor lists differ by zone.
  5. Agree the timetable. Work back from your renewal date and from the nine-month tax return deadline.

Limits of this article. It relies on the documents linked above as I opened them. Free zone rules change, some documents are older than others, and I did not check every authority, including several I could not open. This is general information, not tax, legal or audit advice. Confirm the details with your authority, the FTA and a licensed auditor.

FAQ

Do all free zone companies in the UAE need audited accounts?

No single rule covers free zone audited accounts UAE-wide. Each free zone authority sets its own filing and renewal rules, and some accept simplified statements from small companies. Separately, a Qualifying Free Zone Person must keep audited financial statements for corporate tax, whatever its revenue. Check both your zone and your tax position.

Is an audit required to renew a free zone licence?

For renewals it depends on the zone. DMCC’s Licensing Rules make submitted audited financial statements a renewal condition unless an exemption applies. IFZA asks for financial statements at renewal, and full audited statements unless a small-company test is met. RAKEZ’s 2019 checklist lists audited financials for industrial licences only.

Does a Qualifying Free Zone Person need an audit if revenue is small?

Yes. Ministerial Decision No. 84 of 2025 lists a Qualifying Free Zone Person among those who must prepare and maintain audited financial statements, and the FTA guide says this applies regardless of revenue. A company that does not want that audit cost would need to consider whether it wants Qualifying Free Zone Person status.

What is the audit threshold for other companies under UAE corporate tax?

A Taxable Person that is not a tax group must prepare audited financial statements if its revenue exceeds AED 50,000,000 in the tax period. Tax groups prepare audited special purpose financial statements instead. Below AED 50 million, corporate tax alone does not require an audit for a company that is not a Qualifying Free Zone Person.

Can a small free zone company use cash-basis accounts?

For corporate tax, a person whose revenue does not exceed AED 3 million may use the cash basis of accounting without applying to the FTA. Once revenue passes AED 3 million, accrual accounting applies, except in exceptional cases approved by the FTA. Your free zone authority may still ask for its own format.

Who can sign the audit of a free zone company?

It depends on the authority. JAFZA says its audit report must come from an auditor holding a Dubai Economic Department licence. ADGM requires an ADGM registered auditor. IFZA says any registered UAE auditor may be used. Confirm the auditor requirement with your free zone before you appoint one.
