Founders often ask for a UAE holding company before they have decided what it should own. That is the wrong order. A holding company is a tool for a defined set of assets, and it only helps if the rules around it fit your situation.
This guide is for foreign founders and investors who own, or plan to own, several companies or assets. It explains the vehicles available, what Corporate Tax does to dividends and share sales, and when a holding structure adds cost without benefit. It relies on primary UAE sources only. It is general information, not legal or tax advice.

UAE Holding Company: The Short Answer
A UAE holding company makes sense when it will own two or more companies or assets that you want to manage, finance or sell as a group. It is hard to justify for a single business with a single owner.
The Corporate Tax Law exempts dividends from UAE resident companies. It also exempts dividends and share-sale gains from qualifying participations, if the conditions are met. That removes one layer of tax on profits that move up to the holding company. It does not remove the tax on the underlying business.
The choice of vehicle then depends on what the holding company must do. A passive SPV in ADGM or DIFC suits owning shares. A mainland or free zone company suits a UAE holding company that also needs staff, premises or a trading licence.
What a Holding Company Actually Does
A holding company owns shares in subsidiaries, and sometimes other assets such as intellectual property. It does not usually sell to customers itself. People set one up for three practical reasons:
- One owner, many assets. You hold one company instead of several, and decisions about the group sit in one place.
- Ring-fencing. ADGM describes its SPVs as passive holding companies that isolate financial and legal risk by ring-fencing assets and liabilities. That is ADGM’s description of the purpose, not a guarantee in every case.
- Exit flexibility. Selling shares in the holding company, or in one subsidiary, can be simpler than selling assets. See How to Sell a UAE Company for what a buyer inherits.
Mainland, Free Zone, ADGM or DIFC?
The Ministry of Finance says juridical persons established in a UAE free zone are within the scope of Corporate Tax as Taxable Persons (MoF Corporate Tax page). So the vehicle does not decide whether tax rules apply. It decides licensing, substance and cost. The table below uses what each authority or the law itself says.
| Vehicle | What the sources say | Fits when |
|---|---|---|
| Mainland company | Same Corporate Tax Law. Dividends from a resident company are exempt (Art. 22). Can be a parent in a Tax Group if the 95% tests are met (Art. 40). | The holding also trades, employs staff or needs a local licence. |
| Free zone company | A Free Zone Person is taxed as a normal Taxable Person unless it meets the Qualifying Free Zone Person conditions. Holding shares for investment is a listed Qualifying Activity (MD 229 of 2025). | You want a free zone licence and can meet the QFZP tests. |
| ADGM SPV | ADGM says SPVs are passive holding companies and cannot conduct operational business or hire staff. Its page lists USD 1,900 in total registration fees and says entities can apply for a Tax Residency Certificate if they meet FTA criteria. | You need a passive holding vehicle with a financial-centre legal framework. |
| DIFC SPV (Prescribed Company) | DIFC says SPVs operate as passive holding companies and cannot conduct commercial activities or employ staff. Its page lists a USD 100 application fee and a USD 1,000 annual licence fee. | Same use as an ADGM SPV, with DIFC’s legal framework. |
Fees and eligibility rules change. ADGM and DIFC both appoint or require service providers in some cases, and DIFC has amended its Prescribed Company rules. Confirm the current schedule with the authority before you budget.

How Corporate Tax Treats Dividends and Share Sales
This is the part that drives most holding decisions. The rules sit in Articles 22 and 23 of Federal Decree-Law No. 47 of 2022, as amended, and in Ministerial Decision No. 302 of 2024. The FTA explains them in its Exempt Income guide.
Dividends from a UAE resident company are exempt income. Article 22(1) applies this without a minimum holding.
Dividends and gains from a Participating Interest are exempt if the conditions in Article 23 are met. In summary:
| Condition (Art. 23) | What it requires |
|---|---|
| Size | At least a 5% ownership interest, with at least 5% of distributable profits and 5% of liquidation proceeds. Decision 302 also accepts an aggregated acquisition cost of AED 4,000,000 or more. |
| Time | Held, or intended to be held, for an uninterrupted period of at least 12 months. |
| Subject to tax | The participation is subject to Corporate Tax or a similar tax at a rate of at least 9% in its country of residence. A participation in a Qualifying Free Zone Person or an Exempt Person is treated as meeting this test, subject to conditions the Minister prescribes. |
| Asset test | No more than 50% of its direct and indirect assets are interests that would not qualify for exemption if held directly. |
Three limits are easy to miss. The exemption does not apply where the paying company can deduct the distribution. It does not apply to a loss on liquidation. And income is pulled back into tax if you fall below the ownership test before 12 months have passed.
A two-year restriction also applies where a participation was acquired through a transfer relieved under Article 26 or 27. Check it before moving existing companies into a new holding.
For payments going out, the MoF notes that non-resident persons without a UAE Permanent Establishment may be subject to withholding tax at 0%. That is relevant when a UAE holding company pays dividends abroad. Your home country may still tax you, which no UAE source can answer.
Free Zone Holding Companies and the QFZP Test
A free zone UAE holding company can qualify for 0% on Qualifying Income. Under Ministerial Decision 229 of 2025, holding shares and other securities for investment purposes is a Qualifying Activity. Shares are treated as held for investment when held for an uninterrupted period of at least 12 months.
Qualifying is not automatic. The entity must meet every Qualifying Free Zone Person condition, including substance, de minimis limits and, under current rules, audited financial statements. We cover those tests in our Qualifying Free Zone Person guide, so they are not repeated here.
Two consequences matter for a group. Under Articles 26 and 40, a Qualifying Free Zone Person cannot be part of a Qualifying Group or a Tax Group. A holding that qualifies as a QFZP therefore gives up those group reliefs. Decide which route matters more before you choose the licence.
Tax Groups and Qualifying Group Relief
Two group tools sit beside the participation exemption. They are separate, and neither is automatic.
- Tax Group (Art. 40). A resident parent can form one with resident subsidiaries if it owns at least 95% of share capital, voting rights and profits and net assets. The group is taxed as a single Taxable Person, and members are jointly and severally liable unless the FTA limits it. The FTA explains the process in its Tax Groups guide.
- Qualifying Group relief (Art. 26). Assets can move between group members at net book value if there is a 75% ownership link and the other conditions are met. The relief is withdrawn if the asset leaves the group, or the members stop being a Qualifying Group, within two years.
Both need resident entities with the same financial year and accounting standards. Map mixed structures before you rely on either relief.
When a Holding Company Adds Cost Without Benefit
A UAE holding company is not free. It adds a licence, accounts, a registered office or service provider and a Corporate Tax return. In these cases it often costs more than it saves:
- One operating company, one owner. The holding adds a layer with nothing to hold together.
- Participations that fail the tests. If a foreign subsidiary is under 5%, held for under 12 months, or in a low-tax country, the exemption may not apply. The holding then moves income without removing tax.
- Assets you will sell soon. A short holding period can fail the 12-month test, so the gain may be taxable.
- Property in your own name. A company is not always the better holder. See buying property through a company before moving property into one.
- Substance you cannot staff. A passive SPV cannot employ people. If the holding needs managers, a different vehicle fits better.
My reading, not a legal rule: if you cannot name two or more assets, a reason to hold them together and a likely exit, delay the UAE holding company until you can.
Setting It Up: A Practical Checklist
- List what it will own. Shares, property companies, IP or a portfolio, with the ownership percentage and the date each was acquired.
- Test each participation. Check size, 12 months, tax rate and asset test against Article 23 and Decision 302.
- Choose the vehicle for your UAE holding company. Passive holding points to ADGM or DIFC. A holding that needs staff or a trading licence points to a mainland or free zone company.
- Check the licence wording. Ask the authority in writing whether the activity allows holding shares.
- Register for Corporate Tax. All taxable persons must register on the FTA registration service. Late registration carries an AED 10,000 penalty.
- Plan the exit. Decide now how shares will be sold or the company closed. The two-year and 12-month rules can change the timing.
Limits of this article. It covers the Corporate Tax Law, FTA guidance and the ADGM and DIFC pages as I opened them. Tax residency, treaty relief, foreign tax in your home country and licensing rules are outside its scope.
FAQ
What is a UAE holding company?
A UAE holding company is a company whose main purpose is to own shares or other equity interests in other companies. It may be set up on the mainland, in a free zone, or in ADGM or DIFC. It is not a separate legal category for Corporate Tax: the same law applies.
Are dividends received by a UAE holding company taxed?
Dividends from a UAE resident company are exempt income under Article 22 of the Corporate Tax Law. Dividends from a foreign company are exempt only if the participation conditions in Article 23 are met, including a 12-month holding period and a qualifying ownership interest. Check each subsidiary against the conditions.
Is a gain on selling shares exempt from Corporate Tax?
A gain on selling a Participating Interest is exempt where the Article 23 conditions continue to be met and the 12-month period has passed. A loss on liquidation is not recognised. Shares held for less than 12 months, or in a company that fails a condition, need separate analysis.
What is the minimum shareholding for the participation exemption?
The law sets a 5% ownership interest and a 5% entitlement to profits and liquidation proceeds. Ministerial Decision 302 of 2024 also treats an interest as meeting the minimum where the aggregated acquisition cost is at least AED 4,000,000. The other conditions still apply.
Can a UAE holding company employ staff or run a business?
ADGM and DIFC both describe their SPV-type vehicles as passive holding companies that cannot conduct operational business or hire staff. Mainland and other free zone companies have no such label, but their licence activity and authority rules decide what they may do. Check the licence before you plan substance.
Does a UAE holding company need to register for Corporate Tax?
Yes. The FTA states that all taxable persons must register and obtain a Corporate Tax registration number, and that late registration carries an administrative penalty of AED 10,000. A company that only receives exempt dividends is still a taxable person and still has to register and file.
