UAE VAT Deregistration: When You Can and How to File

UAE VAT deregistration: Dubai skyscrapers and coastline

The Short Answer on UAE VAT Deregistration

UAE VAT deregistration is the process of asking the Federal Tax Authority (FTA) to cancel your VAT registration and your Tax Registration Number. You must start UAE VAT deregistration when your taxable business has stopped or shrunk below the legal level. You may also request it when you simply no longer need to be registered.

The rule that catches foreign founders is the deadline. The VAT Executive Regulation says a registrant must apply within 20 business days of the event that triggers the duty (Executive Regulation, Article 14). Miss it and the penalty clock starts.

This guide covers the two UAE VAT deregistration routes, the deadline, the practical steps, the final return and the penalty. It also shows how UAE VAT deregistration connects to closing or selling a company. It follows our guide to VAT registration in the UAE, so read that first if you are not yet registered.

Mandatory vs Voluntary UAE VAT Deregistration

People search for a “voluntary VAT deregistration threshold” as if one number settles everything. It does not. The Executive Regulation sets two thresholds and uses them in different places. The Mandatory Registration Threshold is AED 375,000 and the Voluntary Registration Threshold is AED 187,500 (Articles 7 and 8).

For UAE VAT deregistration, Article 14 describes two situations. In the first, the FTA must accept your application. In the second, you request cancellation and the FTA decides.

RouteWhat the Executive Regulation saysWho decides
Stopped trading (duty to deregister)You stopped making taxable supplies and do not expect to make any over the next 12 months, and your supplies or taxable expenses over the previous 12 months were below AED 187,500 and are not expected to exceed it over the next 30 days. The FTA accepts the application when both conditions are met.
Voluntary: turnover fell below AED 375,000You ask to be deregistered because your taxable supplies fell below the Mandatory Registration Threshold. The FTA, if it agrees; effective from your requested date or the date of the request.
FTA acts on its ownThe FTA is satisfied that the conditions are met but you did not apply. The FTA can deregister you from the last day of the tax period in which it became satisfied.

In plain words, choose UAE VAT deregistration when the business is finished, or when it is small enough that you can stay out of VAT. Which route fits depends on your real numbers, not on a rule of thumb.

Why the voluntary route is not automatic

A voluntary UAE VAT deregistration is a request, not a right. The Executive Regulation says the FTA cancels the registration if it agrees. Do not stop charging VAT or stop filing returns because you filed an application. Until the FTA confirms the cancellation date, you remain a registrant.

A turnover dip is also a poor reason on its own. If your input VAT recovery is large and your customers are VAT-registered, staying registered can cost you nothing. Model it before you apply.

The 20-Business-Day Deadline

Article 14 says the registrant must apply for deregistration “within 20 business days of the occurrence” of the case in the Decree-Law. In practice, the clock starts when you stop making taxable supplies, or when the numbers show you no longer qualify to remain registered.

Secondary sources disagree on exactly when the days begin. Some describe the event date, others the end of a month. I rely on the Executive Regulation wording and suggest you treat the date the business stopped trading as day one. That is the cautious choice.

Gulf News reported the FTA’s own statement in March 2020: UAE VAT deregistration applications go through the FTA online portal, within 20 business days, and the service is free (Gulf News report on the FTA statement).

If you miss the UAE VAT deregistration deadline, apply anyway and apply quickly. The penalty grows by the month, so a late application is much cheaper than a very late one. A short delay is a manageable mistake. A year of silence is not.

How to File: 6 Practical Steps to Cancel VAT Registration in the UAE

The FTA’s portal wording changes, so treat this as a working checklist, not an official form guide. Each step of UAE VAT deregistration reflects a condition in Article 14.

1. Confirm the trigger and the date. Write down the date you stopped making taxable supplies, or the 12-month figures that show you are below the threshold. Check that you do not expect new supplies in the next 12 months.

2. File every outstanding return. Article 14(5) says you cannot be deregistered until all returns are filed. Look at each tax period back to registration, including nil returns.

3. Pay all tax and penalties. The same article requires that all tax and administrative penalties are paid. Settle the balance before you apply, or the application will stall.

4. Gather your evidence. The Regulation asks the FTA to be satisfied about your supplies and expenses. Prepare financial statements, sales and purchase records, and proof the activity ended, such as a trade licence cancellation or closure notice. The exact document list is the FTA’s to set.

5. Submit the UAE VAT deregistration application in the FTA portal. Use the registrant’s own account or an authorised tax agent. Give the reason, the date and the figures. Keep the submission receipt.

6. Wait for the decision and the cancellation date. The FTA must notify you of the UAE VAT deregistration effective date within 10 business days of its decision. Keep filing returns until that date arrives, then file the final return.

The Final Return and Deemed Supply of Assets

Many founders expect UAE VAT deregistration to end their paperwork. It does not. Once UAE VAT deregistration is approved, Article 64 says a person whose registration is cancelled must file a final tax return for the last period in which they were registered. Returns are due by the 28th day after the end of the tax period.

The surprise is Article 14(6). Goods and services that form part of the business assets are deemed supplied immediately before you cease to be a registrant. The tax on that deemed supply goes into the final return. In other words, stock, equipment and other business assets you keep can trigger output VAT.

The Executive Regulation’s capital asset rules also refer to deregistration as a case where tax on an asset is accounted for as a deemed supply. If you hold stock, vehicles, machinery or fit-out, value them before you file. Ask your accountant how the deemed supply is valued, because I did not find the valuation rule in the sources I opened.

Finally, Article 18 says UAE VAT deregistration does not cancel liabilities that arose while you were a registrant. The FTA can still audit those periods.

VAT Deregistration Penalty: What You Can Owe

The VAT deregistration penalty for a late UAE VAT deregistration application is set in Cabinet Decision 40 of 2017 on administrative penalties. The consolidated text, an unofficial translation published on the Ministry of Finance site, lists AED 1,000 for late submission and the same AED 1,000 each month on the same date after that, up to AED 10,000 (Cabinet Decision 40 of 2017, consolidated).

So a three-month delay is not a catastrophe. A long delay reaches the cap. That figure is only the penalty for the late application. Other penalties can sit next to it:

  • Late VAT returns and late payments carry their own penalties.
  • The FTA will not deregister you until these are paid.
  • Failing to tell the FTA about changes to your registration details is a separate violation.

The same decision lists AED 10,000 for failing to register on time. If you are weighing both sides of the registration cycle, the lesson is the same: act inside the window. Our article on UAE Corporate Tax penalties shows how the penalty structure works for the Corporate Tax side.

When UAE VAT Deregistration Meets a Company Closure or Sale

Founders often treat VAT as a footnote to closing a company. It is not. When you close a company in the UAE, the business stops making taxable supplies, and that can start the 20-business-day clock for UAE VAT deregistration. A clean closure plan lists the FTA step next to the trade licence cancellation, the bank account and the staff.

Run the UAE VAT deregistration work in this order: stop trading, issue last invoices, file outstanding returns, pay balances, apply for deregistration, and file the final return. Keep the bank account open until the final balance is paid.

A sale is different. If you sell a UAE company by transferring the shares, the company stays in existence and normally stays VAT-registered. The buyer inherits its VAT history, so a good buyer will ask for filed returns and proof of payment. If the deal is an asset sale, the supplies in the deal need a VAT analysis, because deemed-supply rules and the deal terms can create tax on the transfer.

In both cases, UAE VAT deregistration is separate from Corporate Tax. A company that closes also has to think about its Corporate Tax registration, and that has its own deadline and penalty. Do not assume one cancellation covers both.

My View: Costly Mistakes to Avoid in UAE VAT Deregistration

This is analysis and opinion, not advice. After reading the rules, I see four mistakes that cost founders money with UAE VAT deregistration.

Waiting for the licence to lapse. A trade licence that expires does not cancel your VAT registration. The two are separate registers.

Leaving old returns unfiled. Nil returns look harmless, but the FTA will not deregister you while any return is outstanding.

Ignoring the deemed supply. Business assets you keep can create VAT in the final return. Plan for it before you close, not after.

Closing the bank account first. You need a working account to pay the final balance. Close it last.

Limits of This Article

Limits of this article. It reflects pages I opened in October 2026: the consolidated VAT Executive Regulation (Cabinet Decision 52 of 2017 and its amendments, an unofficial translation on the FTA site), the consolidated Cabinet Decision 40 of 2017 on the Ministry of Finance site, and a Gulf News report on an FTA statement.

I could not open the text of the VAT Decree-Law itself, so I do not cite its article numbers. The FTA’s own deregistration guide and portal screens were not available to me, so the evidence list in step 4 is practical advice, not an official list. The consolidated texts may not reflect the newest amendments, and thresholds and penalties can change. Check the FTA website before you file.

FAQ

When can I apply for UAE VAT deregistration?

You can apply when you have stopped making taxable supplies and do not expect to make any over the next 12 months. You can also apply when your supplies and taxable expenses over the previous 12 months were below AED 187,500 and are not expected to exceed it in the next 30 days. Both routes come from Article 14 of the VAT Executive Regulation.

What is the deadline to apply for VAT deregistration in the UAE?

The Executive Regulation says you must apply within 20 business days of the event that triggers the duty to deregister. A late application can carry an administrative penalty of AED 1,000, repeated on the same date each month, up to AED 10,000. Do not wait for the FTA to act first.

Is there a fee to cancel VAT registration in the UAE?

Gulf News reported in March 2020 that the FTA described its deregistration services as free of charge. I found no FTA fee for the application itself. Your real costs are unpaid VAT, any penalties, and the accountant time needed to prepare the final return, so budget for those instead.

What is the penalty for late VAT deregistration?

The consolidated Cabinet Decision 40 of 2017 (an unofficial translation) lists AED 1,000 for late submission and the same amount each month after, up to a maximum of AED 10,000. Unpaid VAT and late returns carry separate penalties. The FTA also refuses deregistration until all tax and penalties are paid.

Do I still file a VAT return after I apply to deregister?

Yes. Article 64 of the Executive Regulation says a person whose registration has been cancelled must file a final return for the last tax period in which they were registered. Keep filing normal returns until the FTA confirms your cancellation date, and include the tax on any business assets you still hold.

Can I deregister if I plan to close or sell my company?

Closing a business usually means you have stopped making taxable supplies, so the 20-business-day clock can start. If you sell the company by transferring its shares, the VAT registration normally stays with the company. Check how the deal is structured before you decide, and get tax advice on the sale terms.

Your Next Step

Before you start UAE VAT deregistration, make one page: the date you stopped trading, your last filed return period, your unpaid balances, and the assets still on your books. If any line is blank, fix it first. A clean file makes the application simple.
