A manufacturer or brand that wants UAE sales through a local partner soon meets the UAE commercial agency law. It is the one rulebook that can turn a simple distribution deal into a long-term commitment.
This guide explains the UAE commercial agency law from the principal’s side of the table: what it covers, what registration changes, how exits work and when a different route is smarter. It is based on the Ministry’s own service page and three law-firm analyses I opened in October 2026.

UAE Commercial Agency Law: The Short Answer
The UAE commercial agency law is Federal Law No. 3 of 2022. It replaced the 1981 law on 15 June 2023. Its main change is flexibility: a principal can now end an agency at expiry or by notice, which the old regime made very hard.
Three points matter most for a foreign company. A registered agent must be a UAE national or a company wholly owned by UAE nationals. Registration at the Ministry of Economy makes the agency valid and exclusive. And ending a registered agency needs a legal notice and may cost compensation.
My view on the UAE commercial agency law: do not register an agency because a distributor asks you to. Register only when the product or the buyer requires it, or when you want the protection of exclusivity and accept the exit cost. Many principals are better served by a short, well-drafted distribution contract and a performance review after the first year.
What the UAE Commercial Agency Law Covers and Who Can Be an Agent
The definition in the UAE commercial agency law is wide. As summarised by a law firm that quotes Article 1, a commercial agency is the representation of a principal by an agent under a contract of agency, distribution, sale, offer or concession, or the provision of a commodity or service in the UAE, for a commission or profit. The same analysis notes that distributors, licensees and franchisees are caught, not only traditional agents (Mondaq).
The agent side of the UAE commercial agency law is narrow. Under Article 2, only UAE citizens, or companies wholly owned by citizens or by public legal persons, can act as a commercial agent. A public joint-stock company with at least 51% UAE national ownership also qualifies. The Ministry’s service page repeats the 100% and 51% conditions (Ministry of Economy and Tourism).
One door opened in 2022. An international company can apply to act as agent for its own products, but only if they have no existing agent and were never registered, and only with Cabinet approval on the Minister’s recommendation. The law does not define international company (Stephenson Harwood). In practice this is an exception to plan around, not a route to count on.
Registration: What It Gives You and What It Costs
Registration under the UAE commercial agency law is not a formality. Article 3 says an agency not recorded in the Commercial Agencies Register at the Ministry is not valid as a commercial agency under the law (Mondaq).
The Ministry’s service page lists the practical side:
- Fee: AED 7,500 to register.
- Average service time: 4 working days once the file is complete.
- Documents: a valid trade licence, the agency or distribution contract certified before the official authorities, the signature approval letter, and the memorandum of association on first registration.
- Language: an Arabic legal translation if the contract is in another language.
If the contract is signed abroad, the page says the signature must be documented by the notary or competent authority and then certified by the foreign country, the UAE embassy and the UAE Ministry of Foreign Affairs. Budget time for that chain before you plan a launch date.
If an agent provides showrooms, stores or repair facilities, Article 6 sets a five-year term unless the parties agree otherwise (Mondaq). The same source says the Ministry decides within ten working days of a complete application, and a rejection can be appealed in court within 60 days. The service page quotes a shorter average, so treat both as indicators, not promises.
Exclusivity and Import Control
Exclusivity is the heart of the UAE commercial agency law. Article 7 requires that a commercial agency be granted exclusively for one or more of the seven emirates or for the whole UAE. A deal without exclusivity does not qualify as a commercial agency under the law (Mondaq).
The UAE commercial agency law also reaches the border. Products under a registered agency can be released for trade only to the registered agent. If there is a dispute, the authorities may, at the agent’s request, seize imports and store them until it is settled, unless the principal obtains Ministry permission for a temporary release. The principal stays liable to the agent for commission due on sales meanwhile (Stephenson Harwood).
That is a strong lever for the agent. Think about it before you sign: if the relationship sours, your own goods can be held up at the port. Our guide to importing goods into Dubai shows where customs fits in the wider import chain.

Ending an Agency: Notice, Compensation and the Transition Rules
Before 2023 a principal usually needed the agent’s consent or a material reason accepted by the Committee. Expiry of the term was not enough. Article 9 of the UAE commercial agency law allows termination on expiry without renewal, by mutual consent, by the will of either party under the contract terms, or by court order (Watson Farley & Williams).
Notice. The party that will not renew, or that ends the contract early, must serve a legal notice. Stephenson Harwood reads the rule as one year ahead of the end date, or one year before half of the contract term has passed, whichever comes first. The affected party can challenge the notice before the Committee, which should decide within 120 days. The agency continues until the decision or the end of the notice period, whichever is later (Stephenson Harwood).
Compensation. Article 11, unless the contract says otherwise, lets the agent claim for loss caused by non-renewal of a fixed term. Either side may claim for loss from a lawful termination. An agent that can show it contributed significantly to the principal’s success may also claim lost profit (Watson Farley & Williams). On exit, assets held by the agent and covered by the contract pass to the principal or the new agent at a fair value, a term the law does not define (Stephenson Harwood).
Transition. For agencies registered before the UAE commercial agency law took effect, the new termination rules applied only after two years, that is from June 2025. Agencies registered with the same agent for more than ten years, or with agent investment above AED 100 million, keep the old position until June 2033 (Stephenson Harwood). In October 2026 that means most older agencies are already under the new rules.
This is analysis, not a forecast of how the Committee will rule. Fair value, significant contribution and notice timing are all open to interpretation. That is the reason to define them in the contract.
Disputes: Committee First, Then Court or Arbitration
Disputes about registered agencies start before the Commercial Agencies Committee at the Ministry. The UAE commercial agency law lets parties agree that a Committee decision is appealed to arbitration instead of the courts (Watson Farley & Williams). Stephenson Harwood adds that in that case the Committee decision binds neither the parties nor the arbitrator.
For a foreign principal this is useful. A familiar arbitration seat and clear governing-law wording can reduce the risk of a long local dispute. It does not remove the Committee stage, so pick the clauses with a UAE lawyer, not from a template.
Registered Agency vs Unregistered Distribution
This side-by-side of the UAE commercial agency law and the alternative is my summary of the sources above, not a legal opinion.
| Point | Registered commercial agency | Unregistered distribution deal |
|---|---|---|
| Status under the law | Valid commercial agency once recorded in the Register | Not a valid commercial agency under the law |
| Agent | UAE national or company wholly owned by UAE nationals (or PJSC with 51%+) | Set by the contract and your counsel’s advice |
| Exclusivity | Required by the law for the territory | No statutory right. It is a matter of negotiation |
| Cost to register | AED 7,500 plus attestation and translation | None at the Ministry |
| Import control | Goods released to the registered agent | No such statutory control |
| Exit | Notice, possible compensation, Committee stage | As the contract and general law provide |
| Best for | Products or buyers that require a registered agent, or deals built on long exclusivity | Testing a market with a short term and clear targets |
5 Mistakes Principals Make With a UAE Agent
- Granting exclusivity for the whole UAE on day one. Start with one emirate or channel and widen it when sales prove the partner.
- Leaving the term open. Set a fixed term and a review date. The law now lets you end at expiry, but only if you serve notice in time.
- Missing the notice window. A one-year notice linked to the half-way point is easy to miss. Put the date in your calendar when you sign.
- Skipping performance targets. Compensation claims often turn on contribution. Written sales and service targets give both sides a fair yardstick.
- Using a foreign-law template unchanged. Registration, attestation and the Committee stage are UAE steps. A contract that ignores them can fail when you need it.
Good drafting under the UAE commercial agency law does not need a long contract. It needs a clear one. A sound agency contract names the territory, the products, the term, the targets, how fair value is measured and where disputes go.
When Not to Appoint an Agent at All
The UAE commercial agency law only matters if you choose an agent route, and that is one way into the market, not the only one. Ask what you actually need: local sales, local stock, local service or local presence.
- You want control of price and customers. Consider your own UAE entity. Our comparison of UAE branch office vs subsidiary shows how a foreign company can hold that structure, and free zone vs mainland covers where to place it.
- You need stock close to buyers. A direct import model with a warehouse in Dubai may serve you better than a distributor who buys and resells.
- You are still testing demand. Sell through a non-exclusive partner on a short term before any registration.
Some founders also ask whether the UAE is the right base at all. If that is still open, read Should You Set Up a Company in Dubai? first. Buyers, in turn, look for proof that a foreign brand will stay. See how foreign companies build credibility in the UAE.
Limits of this article. It reflects sources I opened in October 2026: the Ministry of Economy and Tourism service page for registration fee, documents and timing, and three law-firm analyses for the statute. I could not open the official statute text because the legislation portal blocked access. I also could not verify implementing regulations or Committee practice. Article numbers and notice rules come from those summaries. Check the official text with a UAE lawyer. This is general information, not legal advice.
FAQ
What is the UAE commercial agency law?
It is Federal Law No. 3 of 2022 regulating Commercial Agencies, which replaced Federal Law No. 18 of 1981 and took effect on 15 June 2023. It governs agreements where a principal appoints an agent or distributor in the UAE, and it sets rules on registration, exclusivity, termination, compensation and disputes.
Does every distributor agreement in the UAE have to be registered?
No. Registration at the Ministry of Economy is what makes a commercial agency valid under the law, and it brings statutory exclusivity. Some categories, such as sales to government entities or products that need a registered agent to import them, may require it. Ask UAE counsel whether your product falls in such a category.
Can a foreign company be its own commercial agent in the UAE?
Possibly, but only with Cabinet approval. Law firms report that an international company may apply to act as agent for its own products if they have no existing agent and were never registered before. The law does not define international company, so treat this as a case-by-case application, not a right.
How much notice must I give to end a registered agency under the UAE commercial agency law?
Law firm summaries describe a legal notice of one year, tied to either the end of the term or the half-way point of the term, whichever comes first. The exact wording and how it applies to your contract should be checked against the Article text by a UAE lawyer before you serve any notice.
Can an agent claim compensation if I terminate?
Yes, in defined cases. The agent may claim for loss on non-renewal of a fixed term, and either party may claim for loss caused by lawful termination. An agent may also claim lost profit if it shows that it contributed significantly to the principal’s success in its territory. The contract can change these rights if it says so clearly.
Where are agency disputes heard under the UAE commercial agency law?
Disputes over registered agencies start before the Commercial Agencies Committee at the Ministry of Economy. Under the 2022 law the parties may agree that a Committee decision is challenged in arbitration instead of in court. Contract wording on governing law and forum therefore matters from day one.
Your Next Step
Before you talk to any distributor, decide what you will not give away: exclusivity, term and territory. That single decision shapes how the UAE commercial agency law applies to you.
