UAE Branch Office vs Subsidiary: How Foreign Companies Choose

UAE branch office vs subsidiary: Dubai Internet City business park where foreign companies set up

A foreign company entering the Emirates faces one early choice. The UAE branch office vs subsidiary decision shapes who bears the risk, how the business is taxed and how hard it is to leave.

Most founders pick the structure by habit. This guide sets out the UAE branch office vs subsidiary question using the Commercial Companies Law and the Federal Tax Authority (FTA) guides, so you can choose before you sign anything.

UAE Branch Office vs Subsidiary: The Short Answer

Choose a subsidiary when you want to ring-fence risk. The UAE owner of a limited liability company is liable only up to the capital it put in.

Choose a branch when the parent is happy to stand behind the UAE activity and wants one legal entity across borders. A branch is simpler to describe, but the parent carries the exposure.

That is the heart of the UAE branch office vs subsidiary choice. Tax, setup and exit all follow from it. The rest of this guide explains each point and where I could only confirm the position from secondary sources.

What a Branch and a Subsidiary Really Are

A subsidiary is a UAE company that the foreign parent owns. The common form is the limited liability company (LLC). It has its own legal personality, its own licence and its own accounts.

A foreign company branch in the UAE is different. It is not a new company. The FTA guide says UAE branches of a domestic or foreign juridical person are regarded as an extension of their head office and are not separate juridical persons.

The Commercial Companies Law (Federal Decree-Law 32 of 2021) says the same thing in its own way. Under Article 337, the office or branch of a foreign company is deemed its domicile for the activity it conducts in the State. See the full text in the law as published.

In the UAE branch office vs subsidiary comparison, a representative office is a third option. The law limits it to studying markets and production capabilities, with no commercial activity. It is not a way to trade, so I leave it out of the comparison below.

Parent Company Liability: The Biggest UAE Branch Office vs Subsidiary Difference

For most investors, parent company liability settles the UAE branch office vs subsidiary debate. The two structures treat it in opposite ways.

In a subsidiary LLC, Article 71 of the Commercial Companies Law limits a single owner’s liability to the capital set out in the memorandum of association. A company can be that owner. Creditors of the LLC look to the LLC.

A branch has no such shield in the legal form. It is part of the foreign company, so its contracts, debts and claims sit with the parent. I found no UAE text that caps a parent’s liability for its branch. Treat the parent as exposed and ask counsel to confirm.

One related rule is worth knowing. Under Article 336, if a foreign company or its branch trades before it is licensed and approved, the persons who carry on the activity are jointly and severally liable. Do not start work before the paperwork is done.

  • Subsidiary: liability limited to the capital in the memorandum.
  • Branch: obligations belong to the parent company.
  • Either: directors and managers can still carry personal duties under the law.

Where the UAE activity carries real risk, a subsidiary is the safer starting point. Think of construction, regulated services, product liability or large leases. A branch suits low-risk, low-volume activity that the parent already controls.

Corporate Tax in the UAE Branch Office vs Subsidiary Choice

Corporate tax is where the UAE branch office vs subsidiary choice often surprises people. A branch does not avoid tax by being “just an office”.

The FTA Non-Resident guide says a UAE branch of a non-resident is deemed an extension of that company. A branch is also one of the examples of a permanent establishment. Taxable income attributable to a permanent establishment is subject to corporate tax.

A subsidiary is a different case. The FTA General guide says a juridical person incorporated or established in the UAE is a resident person for corporate tax. Free zone companies are included.

The rates are the same for both. The FTA guides set 0% on the first AED 375,000 of taxable income and 9% on the amount above that. Official summaries are on the FTA corporate tax page.

  • Branch in the mainland: taxed on income attributable to its UAE permanent establishment.
  • Subsidiary: taxed as a resident company on its own taxable income.
  • Branch in a free zone: can be a Qualifying Free Zone Person, with 0% on qualifying income.

The last point matters. The FTA General guide defines a Free Zone Person as a juridical person registered in a free zone, including a branch of a Non-Resident Person registered in a Free Zone. The Non-Resident guide gives a branch operating in a free zone as an example of a Qualifying Free Zone Person.

Qualifying status is not automatic. The entity must meet the conditions, including adequate substance and qualifying income. Our guide to the Qualifying Free Zone Person explains the tests.

Two more points from the guides. Several branches of one foreign company can be treated as a single permanent establishment, so splitting activities across branches does not help. And State Sourced Income is currently subject to a 0% withholding tax, so paying profit to the parent is not taxed on its way out.

Home-country tax is a separate question. A branch’s profit is usually part of the parent’s own taxable profit, while a subsidiary may be taxed only when it pays dividends. Confirm this with your home adviser. I make no claim about other countries’ tax law.

Setup: What a Foreign Company Branch in the UAE Needs

The foreign company branch route runs through two authorities. The Ministry of Economy registers the branch. The local licensing authority issues the trade licence. Under Article 336, a foreign company may not trade or open a branch without that licence, except in licensed free zones.

Ministerial Resolution 138 of 2024 replaced the 2010 rules. A law-firm summary in Afridi & Angell lists its main points:

  • Applications are filed on the Ministry’s online platform.
  • The old AED 50,000 bank guarantee is no longer required.
  • The company obtains initial approval from the Ministry before the local licence.
  • After the licence, it must register with the Ministry within one month. The registration certificate is valid for one year.
  • Parent documents must be certified and authenticated, then translated into Arabic. This can take four to five weeks in some countries.

The Ministry may accept a temporary application while authentication is pending. The summary gives a grace period of up to three months. Check the current official text for validity periods, because sources I saw differed on how long the initial approval lasts.

The government’s own guide for mainland businesses also lists a “branch of a foreign company” among activities that need extra approval from the Ministry’s Auditors Department. It says that businesses owned completely by non-GCC residents need a local service agent. See the UAE government guide to starting a mainland business. Ask the licensing authority whether this applies to your activity.

A subsidiary setup is more familiar, and it is the other side of the UAE branch office vs subsidiary comparison. You choose the legal form, sign a memorandum, reserve a name, get the licence and a physical address. It needs fewer parent documents, though the owner’s own papers are still checked.

Running Costs, Accounts and Control

Do not assume a branch is the cheaper structure in the UAE branch office vs subsidiary choice. Article 338 of the law says a foreign company or branch must keep an independent balance sheet and profit and loss account. It must use an auditor registered in the UAE.

The branch must send the balance sheet, final accounts and auditor’s report to the licensing authority and the Ministry each year. It must also include the final accounts of its holding company, if any.

The 2024 resolution adds detail, as summarised by the law firm. The auditor is appointed for one year at a time. The term cannot exceed six consecutive financial years, and the audit partner must change after three. Renewal needs the branch’s audited accounts and a certificate of incumbency for the parent.

So the UAE branch office vs subsidiary choice is not a choice between audit and no audit. Both need accounts. The difference is whose name is on the contract and who signs for the parent.

Control also differs between the two structures. A subsidiary has its own shareholders, managers and board. A branch has a manager appointed by the parent, who acts under the parent’s authority. For many groups, that is a feature: one governance chain, no minority holders.

Free Zone or Mainland?

The UAE branch office vs subsidiary question sits next to a second one: where to be licensed. Free zones license both branches of foreign companies and subsidiaries. The mainland needs the Ministry and Department approvals described above.

The free zone brings the Qualifying Free Zone Person route for corporate tax, but it also brings limits on trading with the mainland and strict substance tests. Our guide to free zone vs mainland in Dubai compares the licences in more detail.

If you plan a group with a UAE parent for regional holdings, a different structure may suit you. See our UAE holding company guide. If you are still deciding between countries for a regional base, read Dubai vs Singapore regional headquarters.

5 Questions That Decide the Structure

Use these questions to settle the UAE branch office vs subsidiary choice for your own case.

  1. How risky is the activity? The higher the risk, the stronger the case for a subsidiary.
  2. Will you hire, lease or sign large contracts? Heavy commitments favour a separate entity.
  3. Do you want to bring in a local partner or investor? A branch cannot have its own shareholders.
  4. How does your home country tax branch profit? Ask in writing before you choose.
  5. How long will you stay? A short trial may suit a branch. A long-term base often suits a subsidiary.

If two or more answers point to a subsidiary, start there. In the UAE branch office vs subsidiary choice, that is the safer default. A subsidiary can be wound up if the venture fails. A branch you later want to ring-fence is harder to fix.

Exit: Closing a Branch or a Subsidiary in the UAE

Both routes can be closed, and the exit is part of the UAE branch office vs subsidiary decision. The steps differ. Under Article 337, when a branch closes, the Ministry deletes it from the Foreign Companies Register. The local licence is cancelled and the tax registration is closed.

A subsidiary is closed by liquidation, licence cancellation and tax deregistration. It is a longer process, but it ends with the company, not with the parent. Our guide to how to close a company in the UAE walks through the full sequence.

Plan the exit at the start. Keep clean accounts, keep tax filings current and avoid open claims. Unpaid items follow the parent in a branch case.

Limits of this article. It reflects the sources as I opened them in October 2026. I read the Commercial Companies Law text as published by a third party. I read copies of the FTA General and Non-Resident guides dated 2023, and the Ministry’s 2024 resolution only through a law-firm summary. Check official sites for newer versions. This is general information, not legal or tax advice.

FAQ

What is the main difference in the UAE branch office vs subsidiary choice?

A subsidiary is a separate UAE company with its own legal personality. A branch is an extension of the foreign parent and not a separate juridical person. That is why the parent answers for a branch’s obligations, while an LLC owner is liable only up to the capital in its memorandum.

Is a branch cheaper to set up than a subsidiary?

Not necessarily. A branch needs attested parent documents, Ministry of Economy registration, a local licence and a UAE auditor. A subsidiary needs a memorandum, a licence and its own accounts. Compare quotes from the licensing authority for your activity. The legal form alone does not decide which is cheaper.

Does a branch pay corporate tax in the UAE?

Yes, if it creates a taxable presence. The FTA treats a UAE branch of a non-resident as an extension of that company and, for tax, as a permanent establishment. Its attributable income is taxed at 0% up to AED 375,000 and 9% above. A qualifying free zone branch can have 0% on qualifying income.

Can a foreign company own a UAE subsidiary alone?

Yes. The Commercial Companies Law lets one physical or juristic person incorporate and own a limited liability company. The owner is liable only up to the capital in the memorandum. Check the activity-specific approvals and any local service agent rule that still applies to your licence before you apply.

Can I convert a branch into a subsidiary later?

There is no single automatic conversion route that I could verify in official text. In practice, companies often incorporate a new UAE entity, move contracts, staff and licences across, and close the branch. Plan the move early with your adviser, because the tax and licensing effects depend on the facts.

What happens to a branch when the parent company is dissolved or sold?

The branch is only a part of the parent, so it cannot outlive it as a separate company. The Ministry deletes a branch from the Foreign Companies Register when it closes. A sale of the parent does not by itself sell the branch’s licence. Check the licensing authority’s rules for changes of control.
