UAE Joint Venture With a Local Partner: Control, Profit Share and Exit

Chess pieces set up on a board, a UAE joint venture needs clear rules before the first move

UAE Joint Venture: The Short Answer

Most failed partnerships in Dubai do not fail because the market was wrong. They fail because two sensible people signed a handshake deal and never wrote down who decides, who gets paid and how one of them leaves.

A UAE joint venture is any arrangement where two or more parties build a business together in the UAE. It may be a new LLC with two shareholders, or a contract between existing companies. My view is that the legal form is the easy part. The value sits in three clauses that most term sheets treat as an afterthought: control, cash and exit.

I call them the three leaks, because a UAE joint venture loses value through them quietly. Control leaks when nobody can make a decision. Cash leaks when profit is split in a way the partners did not understand. Exit leaks when one partner wants out and the other holds a veto. Everything below is organised around closing those three leaks before the first dirham is paid in.

This article is for foreign founders, investors and companies considering a partner in the UAE, whether a local sponsor, a distributor or another foreign business. It separates what the law says from what is good practice, and it flags where I could not confirm a point in the sources I opened.

Do You Need a Local Partner for a UAE Joint Venture?

Many founders start from the wrong question. They ask who their local partner should be. The first question is whether their UAE joint venture needs one at all.

Under Federal Decree-Law No. 32 of 2021 on Commercial Companies, the old rule that a UAE national must own the majority of a mainland company no longer applies as a general rule. Our guide to 100% foreign ownership in the UAE explains the detail. The law keeps two exceptions. The Cabinet may define activities with strategic impact and set controls for licensing them, and the competent authority in each emirate may set a percentage of national ownership for companies within its scope.

So the honest answer is that it depends on your activity and your emirate. Where the company sits matters too: our free zone vs mainland comparison shows how the licensing route changes ownership options. If your activity is open to 100% foreign ownership, a UAE joint venture should be a commercial choice, not a legal workaround.

There are good commercial reasons to partner anyway: a distributor with customers you do not have, a landowner with a site, an operator with a licence in a regulated sector, or a co-investor who brings capital. Those partners are valuable. They are also the people you will negotiate with when something goes wrong, so choose them as carefully as a business partner anywhere else in the world.

Four Ways to Structure a UAE Joint Venture

Before you negotiate percentages, decide what kind of UAE joint venture you are building. The choice changes liability, tax filings and how easily either side can leave.

StructureHow it worksBest whenMain weakness
Shared LLCA new onshore company owned by both parties under one memorandum of associationThe business is new and both sides contribute to itShared management means deadlock risk
Contractual joint ventureTwo companies cooperate under a contract, with no new entityA single project or a limited trial periodLiability and profit tracking are harder to separate
Holding company routeEach partner holds its shares through its own holding companySuccession, financing or later sale matterMore cost and more filings
Minority stakeOne side holds a small share with defined reserved rightsOne partner is mainly a funder or a licence holderThe minority needs strong contract protection

If one side is a foreign company, also compare an operating company with a branch office vs subsidiary. A branch is an extension of the foreign company, not a separate legal person, which changes who carries the liability. Our guide to the UAE holding company covers when the extra layer earns its cost.

Control in a UAE Joint Venture: Votes, Managers and Vetoes

Ownership and control are not the same thing, and a UAE joint venture works best when you write them down separately. The law gives you the default rules. The memorandum of association and the shareholders’ agreement are where you improve them.

The 2021 text sets a few defaults worth knowing. An LLC is run by one or more managers, who may be partners or outsiders, and the partners name them in the memorandum or appoint them in a general assembly (Article 83). The general assembly can dismiss a manager unless the memorandum says otherwise, and a court can dismiss a manager at a partner’s request if it finds the dismissal justified (Article 85). A manager may not run a competing business without the assembly’s consent (Article 86).

Voting is where control really sits. In the original text, a general assembly needs partners holding at least 50% of capital at the first meeting unless the memorandum sets a higher figure, and decisions pass by a majority of the interests represented (Article 96). Amending the memorandum or changing capital needs at least three quarters of the shares represented, and partners’ financial obligations cannot be increased without unanimous consent (Article 101).

In a UAE joint venture, those defaults produce a predictable result. A 51/49 split gives the larger shareholder every ordinary decision. A 50/50 split gives nobody anything. A 75% holder can change the memorandum alone. One practical caution: Kayrouz & Associates’ note on LLC shareholder deadlock describes different quorum thresholds for the first meeting than the text I read. I could not reconcile the two in the sources available, so have counsel confirm the current figures for your company.

My recommendation is to stop relying on percentages for the decisions that matter. Instead, write a short list of reserved matters that need both partners to agree, whatever the shareholding:

  • Changing the business activity or opening a competing line.
  • Raising capital, issuing new shares or taking on borrowing above an agreed limit.
  • Paying dividends outside the agreed policy.
  • Hiring or dismissing the general manager and any related-party contract.
  • Selling major assets, or selling or closing the company.

Everything else, the day-to-day operating decisions, should sit with the manager nominated by the partner who runs the business. A UAE joint venture works when one partner operates and the other protects their investment through the reserved list. If you want help drafting that split, our business setup service team can structure the company and the control rights together.

Profit Share in a UAE Joint Venture

The second leak is cash. Partners in a UAE joint venture often agree on a headline split, say 60/40, and discover later that they meant different things by it.

Article 29 of the 2021 law sets the default: if the memorandum is silent, each partner shares profits and losses pro rata to capital. If it states only a profit share, the loss share follows the same percentage. The memorandum of association is required to state the percentage of distributing profits and losses (Article 14), so this is a point you decide, not one you can skip.

The same article draws a firm line. A clause that deprives a partner of profit, exempts a partner from losses or grants a partner a fixed percentage of profits is null and void. This matters for the old-style arrangement in which a local sponsor receives a fixed annual fee or a guaranteed share regardless of results.

If your UAE joint venture depends on that kind of clause inside the memorandum, it is on weak ground. A service fee for a real service, documented separately, is a different thing and should be reviewed by a lawyer.

There is also a modern option. According to Cleary Gottlieb’s December 2025 memorandum on Decree-Law 20 of 2025, LLCs may now issue multiple share classes with differing economic and voting rights, including dividend entitlements, liquidation preferences and redemption rights. That lets an investor take priority in returns while an operator keeps control. Cleary notes that the detailed scope will be set by forthcoming implementing regulations, so confirm what your licensing authority currently accepts before you design around it.

Whatever split you choose, agree these cash rules in writing:

Article 30 adds a safeguard: no fictitious profits may be distributed, and the board or similar body is liable for doing so. Distribution policy is therefore a governance matter, not a favour between friends.

Deadlock in a UAE Joint Venture

Every UAE joint venture eventually hits a disagreement. What differs is whether the documents give you a way through.

The Commercial Companies Law does not use the word deadlock and has no general mechanism for it, according to Kayrouz & Associates’ note on LLC shareholder deadlock. The amendments introduced by Decree-Law 20 of 2025 helped in one area. Cleary Gottlieb’s December 2025 memorandum on Decree-Law 20 of 2025 reports that the licensing authority, such as the Department of Economy and Tourism in Dubai, can now appoint independent, non-shareholder directors for up to one year when shareholders cannot agree on board appointments. That is a narrow remedy for a narrow problem.

It also gives partners a reason to settle before an outsider is appointed.

The default endpoints are blunt. The law lists dissolution grounds that include the unanimous consent of the partners, unless the memorandum provides a specific majority, and a court judgment. Neither is a plan. Build a ladder instead:

  1. Escalation. A disagreement goes first to the two senior principals, with a short deadline.
  2. Mediation or an independent expert. Pick the forum and the language now, while you still get along.
  3. A buy-sell mechanism. One partner names a price, and the other chooses to buy or sell at that price.
  4. Orderly sale or closure. If neither works, sell the business or close it using a set process.

The buy-sell clause is the one that makes the other three credible, but it favours the partner with more cash. If one of you is much better funded, use a longer response window, an independent valuation or a put-and-call option instead. Check how any such clause interacts with the pre-emption rules before you sign, since a clause that sounds good on paper may not apply cleanly to an LLC.

Exit From a UAE Joint Venture

The third leak in a UAE joint venture is the exit. Plan it at the start, when both partners are optimistic and the terms feel theoretical.

Article 80 of the 2021 law gives the other partners a pre-emption right. A partner who wants to assign interests to an outsider must notify the others through the manager, who must pass the notice on. Any partner may then ask to buy those interests within 30 days. If the price is disputed, one or more experts nominated by the competent authority value the interests at the applicant’s expense. If nobody exercises the right in time, the seller is free to dispose of the interest.

The 2025 amendments add exit tools. Per Cleary, the law now expressly recognises drag-along rights, which let majority holders compel a joint sale, and tag-along rights, which let minority holders sell on the same terms. In an LLC, however, those rights remain subject to the pre-emption regime, which may affect enforceability. The practical fix is to include a waiver of pre-emption in the shareholders’ agreement.

The amendments also allow succession to be structured in constitutional documents, for example so that surviving partners or the company can buy a deceased partner’s shares, with disputed values set by court-appointed experts.

Draft four exit questions into the agreement:

  • Lock-up. Can anyone sell in the first two or three years?
  • Valuation. Is the price set by formula, by an independent valuer or by negotiation?
  • Leaver terms. What happens if a working partner leaves, resigns or dies?
  • Non-compete. How long and how wide does it run after exit?

When the partners want to sell the whole business to a third party, see how to sell a UAE company for licence transfer and what the buyer inherits. If they choose to wind it up, our guide to closing a company in the UAE explains the steps.

UAE Joint Venture Term Sheet Checklist

Use this table before any lawyer drafts a long UAE joint venture agreement. It sets out the default in the 2021 law (original text) next to what a good UAE joint venture agreement adds.

IssueDefault in the lawWhat to agree
Profit and loss splitPro rata to capital if the memorandum is silentStated percentages, dividend policy, retained profit
ManagementOne or more managers appointed by partners or assemblyWho nominates the manager and the reserved matters list
DecisionsQuorum and majority rules in Articles 96 and 101Higher thresholds or vetoes for key decisions
Competing businessManager needs assembly consentNon-compete and non-solicit for all partners
Transfer of shares30-day pre-emption right (Article 80)Lock-up, waiver for agreed sales, drag and tag
DeadlockNo general mechanismEscalation, mediation, buy-sell or put-and-call
Death or incapacitySuccession now possible in constitutional documentsBuy-out terms and valuation method

One more point: put the commercial terms into the shareholders’ agreement and make sure the memorandum of association does not contradict them. A side agreement that conflicts with the registered documents is a weak foundation. Ask counsel how each clause will be treated by the court you have chosen.

Limits of This Article

I read the original text of Federal Decree-Law No. 32 of 2021 and a law-firm memorandum and a practitioner note on the October 2025 amendments. I did not read the consolidated amended text, so article numbers and thresholds may have changed, and I flag where sources disagreed. Implementing regulations on share classes for a UAE joint venture had not been confirmed in the sources I opened.

Where a point is my own view rather than law, such as the three leaks framework, I say so. This is general information, not legal advice. Have a UAE-qualified lawyer review the memorandum of association and the shareholders’ agreement before you sign.

FAQ

What is a UAE joint venture?

A UAE joint venture is an arrangement in which two or more parties combine capital, skills or market access to run a business together in the UAE. It can be a new company, usually an LLC owned by both parties, or a purely contractual arrangement with no new entity. The structure matters less than what the documents say about control, profit and exit.

Do I need a local partner to set up a company in the UAE?

For most activities, no. Federal Decree-Law 32 of 2021 removed the general rule that a UAE national must hold the majority. The Cabinet can still define activities with strategic impact and the licensing authority can set national-ownership requirements, so check your specific activity before assuming you can own 100%.

Can profit be split differently from the shareholding?

Yes, if the memorandum of association says so. The law defaults to profit and loss pro rata to capital, but allows the memorandum to set another split. It does not allow a clause that deprives a partner of profit, exempts a partner from losses or gives a partner a fixed percentage of profits. Such clauses are void.

What happens in a 50/50 UAE joint venture when the partners disagree?

The Commercial Companies Law has no general deadlock mechanism. Since the 2025 amendments, the licensing authority can appoint independent directors for up to one year when shareholders cannot agree on board appointments, but that covers only part of the problem. Escalation steps, mediation and a buy-sell clause in the shareholders’ agreement do the real work.

Can my partner sell their shares to a third party?

Only after offering them to you. Under Article 80 of the 2021 law, a partner who wants to sell to an outsider must notify the other partners through the manager, and any partner can buy the interest within 30 days. If the price is disputed, experts nominated by the competent authority value it.

Are drag-along and tag-along rights enforceable in an LLC?

The 2025 amendments expressly recognise them and allow LLCs to include them in constitutional documents. Cleary Gottlieb notes, however, that in an LLC their use stays subject to the pre-emption regime, so parties should also waive pre-emption rights in the shareholders’ agreement.
